Introduction
A Contest Holder and a Contributor are bound to follow the
procedure specified below while holding/participating in a contest or before
participating as a Contributor respectively. The object of this site is to
provide space for a Contest Holder to find the copyright material or design
that best suits their need from the Contributors.

1.
SERVICES OFFERED BY THEFINALPRINT :
1.1 TheFinalPrint
provides an online service, in accordance with and subject to, the terms and
conditions of this Agreement, whereby ("Services"):
1.1.1
TheFinalPrint works as an Intermediary platform for the Contest
Holders and the Contributors, subject to the USER AGREEMENT,
POLICY AND PROCEDURE, IP TRANSFER AGREEMENT,
PRIVACY POLICY,
DISCALIMER, FOLLOW UP SERVICE AGREEMENT etc. The
rights and liabilities of the Contest Holder and the Contributor shall be to
the extent of the above documents read along with the policy and procedures.
1.1.2
Contest Holders may, by way of a Contest, can place their
requirement for a creative project, which has to be worked upon by the Contributor,
for which the Contest Holder has to pay consideration by way of Prize and the Contributor
may be rewarded with Prize if their work is selected as the winning Work/Entry
and they duly transfer the works with all incidental rights upon it.
1.1.3 Contributors
shall have the opportunity to take part in the Contest and to work for the Contest
Holder on the contingent basis that they would be rewarded if their Entries/Works
are selected as the winning entries. Till they accept the Prize and transfer
the award; the Contributors shall have rights over their work and Contributors
shall be rewarded with Prize if they transfer the work they did and they can
retain their works with them with all rights if their entries are not declared
as the wining one.
1.1.4 If any prohibited
or unfair activities are initiated by either the Contributor or the Contest
Holder at any stage of the Services/Contest, TheFinalPrint shall be at whole
liberty to take appropriate steps/action against the delinquent.
1.1.5 The services
offered by TheFinalPrint shall be within the technical and procedural
limitations set up by TheFinalPrint.
1.1.6 YOU, YOUR
AGENTS, YOUR EMPLOYEES, YOUR AFFILIATES, ANY ONE CLAIMING UNDER OR ACTING UNDER
YOU ARE STRICTLY PROHIBITED FROM PARTICIPATING IN ANY CONTEST HOSTED BY YOU. IF
IT IS REVEALED TO THEFINALPRINT THAT YOU HAVE AWARDED THE PRIZE TO ANY SUCH ONE
AS ABOVE, YOU SHALL BE PERMANENTLY BARRED IN FUTURE PARTICIPATIONS AND WOULD BE
EXPOSED TO PUNITIVE DAMAGES AS FIXED BY TTHEFINALPRINT.
2. CREATING A USER ACCOUNT TO
USE THE SERVICES:
2.1
Creating a User Account:
2.1.1 To avail
Services of TheFinalPrint, to host a Contest OR to participate in a Contest,
you have to create a USER ACCOUNT. By Creating the USER ACCOUNT, you expressly
agree to all the terms and Conditions in the USER AGREEMENT, to abide this POLICY AND
PROCEDURE, and to AGREE to any DOCUMENT, TheFinalPrint requires you to agree
upon.
2.1.2 Your User
Account will be created using TheFinalPrint’s online sign up process, or any
other method specified by TheFinalPrint from time to time. CLICK HERE TO SIGN UP
2.1.3 Your User
Account will permit you to login to TheFinalPrint.com to manage your User
Account, make use of TheFinalPrint.com and to manage other details involving
your relationship with TheFinalPrint.
2.1.4 YOUR
UNDERTAKING WITH US WHILE CREATING AND HOLDING USER ACCOUNT
ü You agree to
keep confidential and secure any username or password used to access your User
Account.
ü You shall
not sell, transfer, assign the user account you have with TheFinalPrint.
ü You warrant
that all information provided to TheFinalPrint in the setup of your User
Account is true and correct in every detail.
ü You agree to
only maintain one User Account in relation to your use of the Services and
TheFinalPrint.com.
ü You agree to
provide TheFinalPrint with all identification documents (including copies of
passports and driver’s license) as required by TheFinalPrint.
2.2
Use of your User Account and TheFinalPrint.com
YOU should agree that the User Account
will be used only by YOU or your authorized person for the purpose of using the
services and for no other purposes. YOU are prohibited from using his User
Account for following purposes:
ü Resell or
sublicense the use of TheFinalPrint.com or your User Account to any other person
ü Use your
User Account in a fraudulent or illegal manner, or email or send any materials
from your User Account which are offensive, unlawful, harassing, libelous,
defamatory, abusive, threatening, harmful, vulgar, obscene or otherwise
objectionable;
ü Use your
User Account to stalk or harass another person;
ü Use your
User Account to impersonate any person in any way whatsoever;
ü Use your
User Account to infringe the copyright, trademark, patent or other Intellectual
Property Rights of any person;
ü Use your
User Account for sending advertising, chain letters, junk mail, “spamming” or
any other type of unsolicited email;
ü Forge or
alter the header or address information contained in any email or communication
which you send from your User Account or in relation to the Services;
ü Use your User Account to send or deliver
viruses, spyware, malware or other harmful, disruptive, or destructive files;
ü Use your
User Account in such a way which damages TheFinalPrint.com or denies access to
TheFinalPrint.com to other users of TheFinalPrint.com.
ü Intentionally or recklessly use your User
Account in a way that degrades the performance of TheFinalPrint.com for other
users;
3. HOSTING A
CONTEST:
3.1 Hosting a
Contest
3.1.1
You may, as a Contest Holder, host a Contest for the getting a
creating Work/Entry done for you. The final Work/Entry that would be submitted
by the Contributor shall be the end product that you may require as the
CREATIVE END PRODUCT.
3.1.2
To host a Contest, you, as a Contest Holder must, via TheFinalPrint.com:
3.1.2.1 Choose the type of Contest you
wish to hold. The types of Contests available will be determined by
TheFinalPrint from time to time. As on today, a Contest will by default be a
Prepaid Contest, unless you, as the Contest Holder, with the express approval
of TheFinalPrint, select that the Contest as a Guaranteed Contest.
3.1.2.2 Advertise
your Brief to Contributors.
3.1.2.3 Specify the
total Contributor Payment you wish to pay for the Contest as the prize (which
will need to be greater than a minimum amount specified by TheFinalPrint from
time to time)
3.1.2.4 Specify the
period of Contest (subject to any maximum period specified by TheFinalPrint
from time to time)
3.1.2.5 Specify any
other details relating to the Contest as required from time to time by
TheFinalPrint;
3.1.2.6 NOT TO
COMMUNICATE WITH THE CONTRIBUTOR THROUGH A MODE THAN THAT EXPRESSLY ALLOWED BY
THEFINALPRINT.
3.1.2.7 Select a
Winner of the Contest from the Contributor after completion of the Contest in
the manner and within timeframe stipulated.
3.1.2.8 Being a
Contest Holder you are duty bound to select a Winner, provided if you have a
valid reason as approved by TheFinalPrint to the contrary.
3.1.2.9 On selecting
a Winner, you have to declare the Winner and have to enter into an IP TRANSFER AGREEMENT with the
Winner (Contributor) and have to acquire the rights over the Work completely
and unconditionally.
3.1.2.10 YOU CANNOT
USE, HOLD, CARRY, TRANSFER or ASSIGN any of the images, works in full or part
done by the other Contributors, those who are not declared as WINNERS and with
whom an IP TRANSFER
AGREEMENT is not entered into.
3.1.2.11 You should
NOT cancel a Contest initiated by you for the purpose of contracting separately
with a Contributor you meet through TheFinalPrint.com which results in you
avoiding paying TheFinalPrint any Contest Holder Payment or any fees and
charges of TheFinalPrint. In these circumstances, without limiting
TheFinalPrint remedies against you, TheFinalPrint may recover its lost fees and
charges and the Contest Holder Payment from you by suspending your User Account
and/or deducting its loss from any TheFinalPrint Points in your User Account.
3.2 Contest Holder's obligation to choose a winning Entry
3.2.1
YOU, as a Contest Holder,
hold a Guaranteed Contest, then you must, by a certain time specified by
TheFinalPrint, select one or more winning Concepts as the Winner of your
Contest. If you fail to choose a winning Concept in accordance with this clause
then:
3.2.1.1
Your Contest Holder
Payment will be retained by TheFinalPrint and the Contributor Fee will then be
shared in equal proportions by those Contributors who participated in the
Guaranteed Contest and who have in the past been a previous winner of a
separate Contest; and
3.2.1.2
You as the Contest
Holder, will however have no right to a refund or to use or reproduce the Entry/Work
or Concepts submitted by those Contributors.
3.2.2
If you, as a Contest
Holder, hold a Prepaid Contest and fail to select a winning Concept by the time
that your Prepaid Contest closes, then your Contest Holder Payment will be
retained by TheFinalPrint and no winning Entry will be chosen and you will have
no right to reproduce the Entry/Work or Concepts submitted to you.
3.3 Contest Holder's LIMITED ability to
withdraw a Prepaid Contest
3.3.1
Subject to clause 3.2
you, as a Contest Holder, may withdraw your Prepaid Contest (but not a
Guaranteed Contest) before a winning Concept is chosen or before the close of
the Prepaid Contest. If a Contest is withdrawn then all Concepts submitted will
be considered losing entries.
3.3.2
If you withdraw a
Contest, you gets a limited right (as a Contest Holder) to a refund for a
withdrawn Contest, subject to absolute discretion of TheFinalPrint.
3.4 How the Entry is delivered
Once the requirements as to release of Payments
norms and IP TRANSFER AGREEMENT are fulfilled, the winning Entry will be delivered
to you, as the Contest Holder, in a file format specified by TheFinalPrint from
time to time.
3.5 Usage of losing entries
YOU, AS A CONTEST HOLDER, MUST NOT REUSE OR REPRODUCE ANY CONCEPT
WHICH IS NOT CHOSEN BY YOU AS A WINNING ENTRY
4. USING THE SERVICES AS A CONTRIBUTOR
4.1 Participating in Contests
4.1.1
You should have a valid
USER ACCOUNT to participate in a Contest.
4.1.2
You will have the
opportunity to participate, as a Contributor, in Contests hosted by Contest
Holders. Contests will be advertised by TheFinalPrint via TheFinalPrint.com. As
a Contributor, you may elect to participate in a Contest via the methods
available in TheFinalPrint.com and otherwise specified by TheFinalPrint from
time to time.
4.2 Submitting Concepts
4.2.1
To participate in a
Contest as a Contributor, you must submit a Concept to the Contest being hosted
by a Contest Holder. The Concept, as submitted, must meet the Contest Holder's
Brief.
4.2.2
The Concept must be
submitted via TheFinalPrint.com and/or using any methodology, file format or
technology specified by TheFinalPrint from time to time.
4.2.3
YOU ARE NOT ALLOWED TO
COMMUNICATE WITH THE CONTEST HOLDER THROUGH ANY OTHER MODE THAN THAT APPROVED
BY THEFINALPRINT. ANY OF YOUR SUCH ATTEMPTS WOULD CULMINATE IN CANCELLATION OF
YOUR USER ACCOUNT OR ANY OTHER PENALTY THEREAFTER.
4.2.4
If you, as a Contributor, submit a Concept:
4.2.4.1
You undertake and
warrant that the Concept will not infringe or be a derivative of the
Intellectual Property Rights of a third party nor will it be a derivative of
any Entry/Work or Concept submitted to TheFinalPrint.com by another Contributor.
4.2.4.2
If your Concept includes
a Third Party Work, you must at the time of submitting the Concept:
A.
Specify that a Third
Party Work has been used in the Concept; and
B.
Set out the license
and/or usage rights which apply to the Third Party Work including whether the Contest
Holder is required to purchase a license for the Third Party Work;
4.3 Being chosen as the winning Entry
If your Concept is selected by a Contest Holder
as a winning Entry, then:
4.3.1
You must enter into the
IP TRANSFER AGREEMENT with the Contest Holder.
4.3.2
You must upload the
entire version of the Entry to TheFinalPrint.com for delivery to the Contest
Holder;
4.3.3
TheFinalPrint will
deliver the winning Entry to the Contest Holder; and
4.3.4
Once the Contest Holder
has confirmed its acceptance of the winning Entry, TheFinalPrint will pay you,
as the Contributor, the Contributor Fee subject to other stipulations in the POLICY
AND PROCEDURE.
4.4 No guarantee of winning a Contest or being
included
You acknowledge and agree that as a Contributor:
4.4.1
You may not have the
ability to enter each and every Contest, and there is no guarantee that
TheFinalPrint may invite you for any particular Contest in which you are
interested in.
4.4.2
TheFinalPrint or a Contest
Holder may restrict your ability to enter any one Contest and/or invite only
specific Contributors to a Contest; and
4.4.3
TheFinalPrint has not
made any representation or warranty that you will win any minimum number of
Contests or earn any income, or any minimum amount of income, from entering
Contests.
4.5 Separate
Agreement between Contributors and Contest Holders :
IP
TRANSFER AGREEMENT
4.5.1
Once a Contest Holder selects a winning Concept, the Contest
Holder and the Contributor will have to into a separate binding IP
TRANSFER AGREEMENT in relation to the provision of the Entry and
the Contest Holder's rights in relation to the Entry. TheFinalPrint and its
third party providers will not be a party to this separate agreement and will
have no liability whatsoever in relation to the performance or failure to
perform of a Contest Holder or Contributor under the terms of the separate
agreement.
4.5.2
Unless separately agreed between a Contest Holder and Contributor,
the terms of the separate IP TRANSFER AGREEMENT is
incorporated by reference into this Policy and Procedures and both Contributor
and Contest Holder unilaterally agrees to the terms and conditions in the IP
TRANSFER AGREEMENT.
5. PAYMENTS
5.1 TheFinalPrint Points
5.1.1
You may pay for goods
and services provided by TheFinalPrint by exchanging TheFinalPrint Points in
return for those goods and services.
5.1.2
You may purchase
TheFinalPrint Points at any time via TheFinalPrint.com. TheFinalPrint Points
may be purchased via your Point card, PayPal or any other method of payment
specified from time to time by TheFinalPrint.
5.1.3
There are two types of
TheFinalPrint Points:
1)
Dollar Points; and
2)
Bonus Points.
5.1.4
Each Dollar Point is equivalent
to one United States Dollar.
5.1.5
Bonus Points are not
equivalent to any currency. They may however be used to purchase or obtain
discounts on certain specified goods and services from TheFinalPrint.
5.1.6
TheFinalPrint Points are
not legal tender and cannot be traded or sold to third parties. TheFinalPrint Points
are only exchangeable for goods and services provided by TheFinalPrint in
accordance with pricing and rules specified by TheFinalPrint from time to time.
5.1.7
Any Dollar Point which
includes a fraction of a cent may be truncated by TheFinalPrint down to the
nearest whole number.
5.1.8
The balance of any
TheFinalPrint Points held by you may be reduced at any time by TheFinalPrint
for any amount owing by you to TheFinalPrint on any account whatsoever
including in relation to compensating TheFinalPrint for any loss that it
determines (in its sole and absolute discretion) it has suffered as a result of
any breach of this Agreement by you.
5.2 Converting Dollar Points to amounts payable to
you
5.2.1
You may at any time,
convert Dollar Points which you hold in your User Account to US dollars or any
other currency permitted by TheFinalPrint.com and request payment of those
amounts to you. Any such payments will be made via the payment method nominated
by you in your User Account. Any such payment by TheFinalPrint to you may be
reduced by any amount owing by you to TheFinalPrint on any account whatsoever
and may also be reduced by any related administration fees and charges imposed
by TheFinalPrint from time to time.
5.2.2
Any withdrawal of Dollar
Points in accordance with this clause may be subject to minimum or maximum
withdrawal amounts specified by TheFinalPrint from time to time.
5.2.3
TheFinalPrint may refuse
to permit you to withdraw Dollar Points where it considers that as at the date
of withdrawal you are in breach of this Policy and Procedure or the USER AGREEMENT
5.3 The amount payable by a Contest Holder
5.3.1
When you, as a Contest
Holder, set up a Contest, you will pay TheFinalPrint a total amount ("Contest
Holder Payment") which is comprised of:
5.3.1.1
The price or portion of
the Contest Holder Payment which will be paid to the Contributor for their
winning Entry awarded through your Contest ("Contributor Fee");
5.3.1.2
Any fees and charges
imposed by TheFinalPrint;
5.3.1.3
Fees and charges imposed
by a third party on TheFinalPrint in respect of the Contest;
5.3.1.4
Any Taxes which may be
levied on the provision of the to you;
5.3.1.5
Any Taxes which may be
levied on the provision of any other goods or services by TheFinalPrint; and
5.3.1.6
Any portion of the Contest
Holder Payment retained by TheFinalPrint after deduction or payment of the
above amounts.
5.3.2
The total amount of the Contest
Holder Payment will be specified by you when you create a Contest.
5.3.3
If you, as a Contest
Holder, select more than one Concept as a winning Entry for your Contest, then
the Contest Holder Payment payable by you will be increased by:
5.3.3.1
The amount of the Contributor
Fee in respect of each winning Entry chosen by you (which will be the same for
each winning Contributor); and
5.3.3.2
Any applicable fees and
charges imposed by TheFinalPrint (as they exist from time to time).
5.4 How is
the ‘Contest Holder Payment’ paid?
The Contest Holder Payment is paid using either
TheFinalPrint Points and/or any other method of payment which is specified by
TheFinalPrint from time to time which may include Credit card, PayPal, direct
debit, or telegraphic transfer. If TheFinalPrint Points are used for payment,
then TheFinalPrint may specify a maximum number of TheFinalPrint Points (which
may be zero) which may be used towards payment.
5.5 What amounts are paid to Contributors?
5.5.1
If you, as a Contributor,
win a Contest, then TheFinalPrint will pay you the amount of the Contributor
Fee (subject to having first received payment from the Contest Holder).
5.5.2
The Contributor Fee will
be paid to you in TheFinalPrint Points but may be reclaimed by TheFinalPrint if
any refund is payable to the Contest Holder. You may redeem TheFinalPrint Points
into cash as per TheFinalPrint procedures.
5.6 Expiry of TheFinalPrint Points
5.6.1
The balance of Dollar Points
held by you will expire 12 months from the date that you last spent any Dollar Points
to purchase any goods or services from TheFinalPrint. Balances of your Dollar Points
which are not spent within this 12 month period are lost.
5.6.2
The balance of Bonus Points
held by you will expire 48 months from the date that you last spent any Bonus Points
to purchase any goods or services from TheFinalPrint. Balances of your Bonus Points
which are not spent within this 48 month period are lost.
5.7 TheFinalPrint is not an escrow service
TheFinalPrint is not an escrow service and does
not hold property on behalf of any person. All amounts deposited or paid to
TheFinalPrint are property of TheFinalPrint and TheFinalPrint may use those
funds as it sees fit. The only rights that you have to receive payment of any
amounts held by TheFinalPrint shall be subject to the Policy and Procedure herein.
6. PROCESSING OF REFUNDS TO CONTEST HOLDER
6.1 How refunds are paid
If TheFinalPrint issues you a refund that refund
will be paid to you using the same payment methods you used to remit the Contest
Holder Payment to TheFinalPrint or via any other method TheFinalPrint chooses
from time to time.
6.2 Withdrawn Contests
STRICTLY SUBJECT OTHER RESTRAINING CLAUSES IN
THE POLICY AND PROCEDURE, if you, as a Contest Holder, are permitted to, and do
withdraw a Contest, then you may be refunded any amount of the Contest Holder
Payment paid in respect of the Contest, further subject to the deductions
imposed by TheFinalPrint from time to time.
6.3 TheFinalPrint money back guarantee for Prepaid
Contests
6.3.1
If you as a Contest
Holder, host a Prepaid Contest, then you may seek a refund of the Contest
Holder Payment paid by you at any time up to 60 days after the date of the Contest
Holder Payment but only if:
6.3.1.1
A successful Concept was
not chosen by you for Good Reasons acceptable to TheFinalPrint,
6.3.1.2
A successful Concept was
chosen by you, but the Contributor is yet to be paid by TheFinalPrint for the
provision of their Entry/Work. You will not be entitled for any money back if
the Final Entry done by the Contributor had been handed over to you by him.
6.3.2
If any Contributor has
raised any complaint against you on the Contest you have launched, till you have satisfactorily answered or
solved the complaint, TheFinalPrint shall have the right to withhold the
payment.
6.3.3
For the avoidance of
doubt the money back guarantee described in this clause does not apply to
Guaranteed Contests.
7. LIABILITY TO REFUND BY A CONTESATNT
7.1 For "Defective" Entry/Work
7.1.1
When
is an Entry/Work deemed to be "defective"?
An Entry/Work will be deemed to be “defective”
if:
7.1.1.1
Both a Contest Holder
and the winning Contributor agree it is defective and notify TheFinalPrint of
this fact.
7.1.1.2
TheFinalPrint receives a
demand or claim from a third party who claims ownership of the Entry/Work or
the Intellectual Property Rights in the Entry/Work and TheFinalPrint accepts
(to be determined by TheFinalPrint in its sole and absolute discretion) that
there may be grounds for the third party's claim;
7.1.1.3
TheFinalPrint deems (in
its sole and absolute discretion) that it is defective.
7.1.2
You agree that any
determination by TheFinalPrint that an Entry/Work is defective is final and
conclusive, is not subject to challenge by you, and is binding on you.
7.1.3
If TheFinalPrint
determines that an Entry/Work is not defective, this will not restrict a
Contest Holder from pursuing a Contributor separately for amounts paid by
TheFinalPrint to the Contributor.
7.1.4
Liability to Refund if your Entry/Work /Entry is
defective
7.1.4.1
If the Entry/Work is
provided by you, in your capacity as a Contributor, then you must reimburse
TheFinalPrint for the amount of the Contributor Fee you received in respect of
that Entry/Work. The reimbursement will first be paid out of any TheFinalPrint Points
you hold and any remaining debt will be payable by you to TheFinalPrint on
demand; or
7.1.4.2
If the refund is paid to
you as a Contest Holder, then you will initially receive the amount of the Contest
Holder Payment paid by you, less the Contributor Fee. You will receive the Contributor
Fee only once the Contributor Fee is reimbursed by the Contributor to
TheFinalPrint.
8. OTHER CIRCUMSTANCES IN WHICH REFUND MAY BE MADE
BY THEFINALPRINT
8.1
TheFinalPrint may refund
an amount paid by a Contest Holder in respect of a Entry/Work supplied by a Contributor
if:
8.1.1
TheFinalPrint is
required by law or considers that it is required by law to do so
8.1.2
TheFinalPrint issues the
refund to the Contest Holder in accordance with any refund policy specified by
TheFinalPrint from time to time
9. SUSPENSION OF THE SERVICES
9.1
Without limiting
TheFinalPrint’s other rights arising under this Policy and Procedure,
TheFinalPrint may suspend your User Account and your use of the Services at any
time, with or without notice to you, and for any reason in its sole and absolute
discretion.
9.2 IT IS STRICTLY MADE TO YOUR NOTICE AND YOU
EXPRESSLY AGREE THAT:
9.2.1
TheFinalPrint may
suspend the Services at any time including without limitation, during or after
a Contest.
9.2.2
TheFinalPrint’s
suspension of the Services may, in TheFinalPrint’s sole discretion, apply to
only some of the Services and/or for a fixed or indefinite period of time; and
9.2.3
TheFinalPrint may in its
sole discretion reactivate the Services and your User Account for you at any
time following their suspension.

You warrant to TheFinalPrint and its third party
providers that you will comply with the PRIVACY POLICY all privacy laws and data protection laws in
relation to the storage, use and transfer of Personal Information.
11.
YOUR
GENERAL OBLIGATIONS
YOUR HAVE OBLIGATIONS TO:
11.1 You should not use the Services for any illegal
or fraudulent purpose or for any purpose other than holding or entering into
Contests as a Contest Holder or Contributor. You should comply with all laws
which must be complied with in relation to a Contest or the supply of an Entry/Work.
11.2 You should comply with any export restrictions which
may apply to the export or import of a Entry/Work or other Intellectual
Property Rights to locations inside or outside the United States of America or
the territory in which you are located
11.3 You warrant that you should not, by engaging
TheFinalPrint to provide the Services, place TheFinalPrint in breach of any law
or obligation owing to a third party.
11.4 You should not undertake any act or cause any
omission which should bring TheFinalPrint, its brand or other Contest Holders
and Contributors into disrepute.
11.5 You should not use the Services in a manner that
may lead to the suspension of the Services under clause 9.1; and
11.6 You should provide TheFinalPrint with all
information requested by TheFinalPrint which TheFinalPrint requires to provide
the Services.
